Please read these Terms and Conditions ("Terms") carefully before using the Ancientel intelligence platform at ancientel.com (the "Platform"), operated by Ancientel LLC ("Ancientel," "we," "our," or "us"), a Kentucky limited liability company. By creating an account, subscribing, or accessing any part of the Platform, you agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms, do not use the Platform.
1. Age Requirement and Eligibility
The Platform is intended solely for individuals who are 18 years of age or older. By creating an account, you affirmatively represent and warrant that: (a) you are at least 18 years old or the age of majority in your jurisdiction, whichever is greater; (b) you have the full legal capacity and authority to enter into these Terms; (c) your use of the Platform complies with all applicable laws and regulations; and (d) you are not a resident of, or accessing the Platform from, a jurisdiction where such access is prohibited by applicable law.
By completing registration, including the age attestation at signup, you confirm that you meet these requirements. If you are subscribing on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Intelligence Service — Not Financial, Legal, or Investment Advice
Ancientel provides geopolitical intelligence analysis, cycle-based research, and informational assessments about global events, capital flows, economic conditions, and related topics (collectively, "Intelligence Content").
IMPORTANT DISCLAIMER: The Intelligence Content provided through the Platform is for informational and analytical purposes only. Under no circumstances does it constitute:
- ▪ Financial advice, investment advice, or a recommendation to buy, sell, hold, or transact in any security, cryptocurrency, commodity, currency, derivative, or other financial instrument.
- ▪ Legal advice, a legal opinion, or the establishment of an attorney-client relationship.
- ▪ Tax advice or a tax opinion.
- ▪ A guarantee, prediction, or warranty of any future event, market movement, or geopolitical development.
- ▪ An offer to buy or sell any security or financial product.
You acknowledge and agree that: (a) all financial, investment, and legal decisions involve risk and are your sole responsibility; (b) past assessments or phase calls do not guarantee future accuracy; (c) you will consult a licensed financial advisor, attorney, or other qualified professional before making any decision based on Intelligence Content; and (d) Ancientel is not a registered investment adviser, broker-dealer, securities dealer, financial planner, or commodity trading adviser under applicable federal or state law.
3. Account Registration
To access the Platform, you must create an account. You agree to:
- ▪ Provide accurate, current, and complete information during registration and keep it updated.
- ▪ Maintain the confidentiality of your password and not share account credentials with any third party.
- ▪ Notify us immediately at brief@ancientel.com if you suspect unauthorized access to your account.
- ▪ Accept full responsibility for all activities that occur under your account.
- ▪ Use one account per person. Creating multiple accounts to circumvent access limits, credit quotas, or other Platform policies is prohibited.
We reserve the right to refuse registration, cancel accounts, or remove content at our discretion.
4. Auto-Renewal Disclosure — PLEASE READ CAREFULLY
ANCIENTEL SUBSCRIPTIONS AUTOMATICALLY RENEW. By subscribing to a paid subscription tier, you authorize Ancientel to automatically charge the applicable subscription fee to your payment method on a recurring basis at the start of each billing period (monthly or annual, as applicable), until you cancel.
Key auto-renewal terms:
- ▪ Your subscription will automatically renew at the end of each billing period at the then-current price for your tier, unless cancelled at least 24 hours before the renewal date.
- ▪ You will be charged on the same day of each month (or year, for annual plans) as your initial subscription date.
- ▪ Cancellation takes effect at the end of the current billing period. You retain access through the end of the period for which you have paid.
- ▪ To cancel, visit your account settings page or contact us at brief@ancientel.com. Cancellation is available at any time.
- ▪ We will send you a reminder notification before your annual subscription renews if required by applicable law.
5. Subscription Tiers and Billing
5.1 Available Tiers
The Platform offers the following subscription tiers. Features and pricing are subject to change with notice as described in Section 5.3.
5.2 Billing and Payment
Subscriptions are billed in advance through Stripe, Inc. By providing payment information, you authorize Ancientel to charge your payment method on a recurring basis as described in Section 4. All fees are stated in U.S. dollars. You are responsible for all applicable taxes.
5.3 Price Changes
Ancientel may modify subscription pricing with at least 30 days written notice to active subscribers via email. Continued use of the Platform after the effective date of a price change constitutes acceptance of the new pricing. If you do not accept a price change, you may cancel before the effective date without penalty.
5.4 Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain full access through that date.
5.5 Refund Policy
Subscription fees are non-refundable for partial billing periods. Ancientel does not provide prorated refunds upon cancellation. In the event of a technical failure directly caused by Ancientel that prevents access to the Platform for an extended period, we may provide a service credit at our discretion.
6. Assessment Credits and Packs
In addition to assessments included with your subscription tier, you may purchase additional intelligence assessment credit packs. Assessment credits allow you to submit on-demand assessments to the Platform.
Assessment credit terms:
- ▪ Credits have no expiration date while your account remains active.
- ▪ Credits are non-transferable between accounts and have no cash value.
- ▪ Credits consumed by completed assessments are non-refundable.
- ▪ Unused credits are forfeited upon account termination.
- ▪ Monthly subscription assessments reset at the start of each billing period and do not roll over.
7. Affiliate Program
7.1 Program Overview
Members on the Affiliate tier and above may participate in the Ancientel Affiliate Program, earning commission income by referring new paying members to the Platform. Participation is governed by this Section 7.
7.2 Commission Structure
Affiliates earn a commission equal to 20% of the monthly subscription fee paid by each referred member for each month that the referred member maintains an active paid subscription. Commission applies to the subscription tier price only and does not apply to assessment pack purchases.
7.3 Qualification Requirements — Dual Gate
Commission is earned only when both of the following conditions are satisfied:
- ▪ Gate 1 — Tier Activation: The referred individual creates an account and activates a paid subscription tier.
- ▪ Gate 2 — First Payment: The referred individual successfully completes at least one payment.
Satisfaction of one gate alone does not trigger commission. Self-referral — using referral links to refer accounts you control — is prohibited and will result in forfeiture of related commissions and termination of affiliate status.
7.4 Commission Payment
Commissions are calculated monthly and paid according to a payment schedule established by Ancientel. Ancientel reserves the right to modify commission rates with 60 days written notice to active affiliates. Commission payments are subject to applicable tax withholding. Affiliates earning $600 or more in a calendar year will receive IRS Form 1099-NEC as required by U.S. tax law.
7.5 Prohibited Affiliate Conduct
Affiliates may not:
- ▪ Make false, misleading, or unsubstantiated representations about the Platform or Intelligence Content.
- ▪ Represent that Intelligence Content constitutes financial, legal, investment, or trading advice.
- ▪ Use paid search advertising that directly competes with Ancientel's own campaigns without prior written approval.
- ▪ Engage in spam, unsolicited messaging, or deceptive marketing to generate referrals.
- ▪ Create multiple accounts or use technical means to generate fraudulent referral activity.
Violation of these restrictions may result in immediate termination of affiliate status and forfeiture of all unpaid commissions.
7.6 Affiliate Tax Obligations
Affiliates are independent contractors, not employees of Ancientel. You are solely responsible for all tax obligations arising from commission income you receive. Ancientel is not responsible for withholding taxes on commission payments except as required by law.
8. API Access (Professional Tier and Above)
Professional, Institutional, and Enterprise subscribers may access the Platform via the Ancientel API. API Access is subject to the following:
- ▪ Rate limits and usage quotas applicable to your subscription tier, as published in the API documentation.
- ▪ You may not share your API key with unauthorized parties or organizations.
- ▪ API Access is provided for integration with your own internal systems. Resale of API Access or bulk redistribution of Intelligence Content via API to third parties requires a separate written agreement with Ancientel.
- ▪ We reserve the right to throttle, suspend, or terminate API Access for violations of these Terms or excessive usage that degrades service quality for other subscribers.
9. Acceptable Use Policy
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:
- ▪ Violate any applicable federal, state, local, or international law or regulation.
- ▪ Reproduce, distribute, publicly display, or commercially exploit Intelligence Content without Ancientel's prior written consent.
- ▪ Use automated tools, bots, scrapers, crawlers, or scripts to access, extract, or monitor data from the Platform without authorization.
- ▪ Attempt to reverse-engineer, decompile, or derive the underlying analytical framework, algorithms, scoring methodology, or proprietary models.
- ▪ Share your account credentials or allow multiple individuals to use a single account.
- ▪ Interfere with or attempt to disrupt the Platform's infrastructure, servers, networks, or security systems.
- ▪ Introduce malicious code, viruses, or other harmful materials into the Platform.
- ▪ Engage in any activity that could damage, disable, overburden, or impair the Platform.
- ▪ Harvest or collect information about other users without their consent.
10. Prohibited Professional Uses
In addition to the general acceptable use restrictions, you may not use Intelligence Content to:
- ▪ Trade securities, commodities, or other financial instruments based on Intelligence Content in violation of applicable securities laws, including laws prohibiting insider trading or market manipulation.
- ▪ Facilitate, advise, or enable actions that violate U.S. or applicable foreign sanctions laws or export control regulations.
- ▪ Provide investment advice to third parties based on Intelligence Content without holding appropriate regulatory registrations or licenses.
- ▪ Use Intelligence Content in any product or service intended to provide financial advice or investment recommendations to end consumers without appropriate regulatory compliance.
11. Export Controls and International Use
The Platform and Intelligence Content may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) administered by the U.S. Department of Commerce. By using the Platform, you represent and warrant that:
- ▪ You are not located in, organized under the laws of, or a resident of a country subject to a U.S. government embargo or designated as a 'state sponsor of terrorism.'
- ▪ You are not identified on the U.S. Treasury Department's Specially Designated Nationals (SDN) list or any other applicable sanctions list.
- ▪ You will not use or transfer Intelligence Content in violation of U.S. export control laws.
Ancientel reserves the right to restrict or terminate access for users in jurisdictions where providing the Platform would violate applicable law.
12. OFAC Compliance and Sanctions
Ancientel complies with U.S. Office of Foreign Assets Control (OFAC) regulations. You represent and warrant that you, and any organization on whose behalf you subscribe, are not: (a) designated on the OFAC Specially Designated Nationals and Blocked Persons List (SDN List); (b) subject to any U.S. sanctions program; or (c) fifty percent or more owned, directly or indirectly, by any person on the SDN List.
Ancientel reserves the right to terminate your account and freeze any outstanding commissions or credits without refund if we determine that you or your organization are subject to applicable sanctions.
13. User-Submitted Content
13.1 Your Content
When you submit assessment requests, chat messages, or other content to the Platform ("Your Content"), you retain ownership of Your Content. You grant Ancientel a limited, non-exclusive license to process, transmit, and use Your Content solely to provide the Platform services to you, including transmitting it to our AI provider as described in the Privacy Policy.
13.2 Feedback and Suggestions
If you provide feedback, suggestions, ideas, or recommendations regarding the Platform ("Feedback"), you agree that: (a) Ancientel is not obligated to treat such Feedback as confidential; (b) Ancientel may use, implement, and commercialize such Feedback without restriction and without compensation to you; and (c) such Feedback becomes the sole and exclusive property of Ancientel.
13.3 Member Coverage Recommendations
If you submit recommendations for expanding Ancientel's intelligence coverage through the "Shape the Model" feature, such recommendations are provided voluntarily and become the property of Ancientel for potential incorporation into the Platform at our sole discretion. Ancientel is under no obligation to act on any recommendation.
14. Intellectual Property
14.1 Ancientel's Intellectual Property
The Platform, its underlying technology, and all Intelligence Content — including the three-cycle geopolitical analytical framework, world model reports (R01–R16), board state architecture, phase detection methodology, calibration system, synthesis engine, and all associated analytical outputs — are the exclusive property of Ancientel LLC and are protected by applicable copyright, trade secret, and intellectual property laws. Nothing in these Terms grants you any ownership interest in Ancientel's intellectual property.
14.2 Limited License
Subject to your compliance with these Terms and payment of applicable fees, Ancientel grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and Intelligence Content for your personal or internal business purposes only. This license does not permit: (a) resale or redistribution of Intelligence Content; (b) sub-licensing; (c) use in competing products or services; or (d) systematic extraction of data for training AI or machine learning models.
14.3 Framework Confidentiality
The Ancientel analytical framework — including phase entry and exit criteria, signal hierarchy rules, calibration methodology, scoring architecture, and board state logic — constitutes proprietary trade secrets. You may use the outputs and language of the framework in your own work and communications. You may not attempt to document, reproduce, teach, or enable others to replicate the underlying methodology.
15. Demographic Context
You may voluntarily provide demographic context to personalize your intelligence experience. By providing this information, you acknowledge that: (a) it is transmitted to Anthropic PBC as part of the AI system prompt for each session, as described in our Privacy Policy; (b) it is used solely to contextualize intelligence outputs for your stated situation; (c) it is not aggregated across users, sold, or used for targeted advertising; and (d) you may delete it at any time from your account settings. Demographic context is entirely voluntary and is not required to use the Platform.
16. Security Responsibilities
You are responsible for maintaining the security of your account, including:
- ▪ Using a strong, unique password and not reusing passwords from other services.
- ▪ Logging out of your account when using shared or public devices.
- ▪ Not sharing your API key or session credentials with unauthorized parties.
- ▪ Promptly reporting any suspected unauthorized access to brief@ancientel.com.
Ancientel will not be liable for any loss or damage arising from your failure to comply with these security responsibilities.
17. Disclaimer of Warranties
THE PLATFORM AND ALL INTELLIGENCE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANCIENTEL EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ACCURACY.
ANCIENTEL DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE AT ALL TIMES; (B) INTELLIGENCE CONTENT IS ACCURATE, COMPLETE, CURRENT, OR RELIABLE; (C) ANY ASSESSMENT, PHASE CALL, OR ANALYTICAL OUTPUT WILL PROVE CORRECT OR PREDICT ANY FUTURE EVENT; (D) THE PLATFORM WILL MEET YOUR SPECIFIC REQUIREMENTS; OR (E) ANY ERRORS WILL BE CORRECTED.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ANCIENTEL, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM OR ANY INTELLIGENCE CONTENT, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ANCIENTEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL ANCIENTEL'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO ANCIENTEL IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM GIVING RISE TO LIABILITY; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
19. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Ancientel LLC and its officers, directors, members, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- ▪ Your use of or access to the Platform.
- ▪ Your violation of these Terms.
- ▪ Your violation of any applicable law, regulation, or third-party right.
- ▪ Any financial, investment, trading, legal, or other decision you make based on Intelligence Content.
- ▪ Your participation in the Affiliate Program, including any representations you make about the Platform.
- ▪ Content you submit to the Platform.
20. Force Majeure
Ancientel will not be liable for any delay or failure to perform its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including: acts of God, natural disasters, pandemic, war, terrorism, civil unrest, government action, power or internet outages, third-party service failures (including failures of Anthropic, Stripe, Neon, Vercel, or other providers), or other events outside Ancientel's reasonable control. In such events, Ancientel will use commercially reasonable efforts to resume performance as soon as practicable.
21. Term and Termination
These Terms remain in effect for as long as you maintain an account with Ancientel.
21.1 Termination by You
You may terminate your account at any time by deleting your account from account settings or contacting us at brief@ancientel.com. Termination does not entitle you to a refund of any prepaid subscription fees or unused assessment credits.
21.2 Termination by Ancientel
Ancientel may suspend or terminate your account, with or without notice, if: (a) you violate these Terms; (b) we reasonably believe your conduct poses a risk to the Platform, other users, or third parties; (c) you fail to pay applicable fees; (d) your account is subject to applicable sanctions; or (e) we discontinue the Platform. Sections that by their nature should survive termination will do so, including Sections 2, 10, 12, 13, 14, 17, 18, 19, 22, and 23.
22. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the Platform that is not resolved through the process in Section 23 shall be brought exclusively in the state or federal courts located in Madison County, Kentucky, and you irrevocably consent to the personal jurisdiction and venue of those courts.
23. Dispute Resolution
23.1 Informal Resolution
Before initiating any legal proceeding, you agree to contact Ancientel at brief@ancientel.com with a written description of the dispute, your name, and your preferred resolution. The parties will attempt to resolve the dispute informally for 30 days from the date of written notice.
23.2 Binding Arbitration (Optional — See Attorney Review Note)

24. Communications
By creating an account, you consent to receive transactional communications from Ancientel at the email address associated with your account, including:
- ▪ Account verification and security notifications.
- ▪ Billing receipts and subscription renewal notices.
- ▪ Service updates and material changes to these Terms or the Privacy Policy.
- ▪ Daily brief and intelligence alert notifications (for subscribed tiers).
You may opt out of marketing communications at any time as described in our Privacy Policy. Transactional communications cannot be opted out of while your account is active, as they are necessary for account administration.
Notices to Ancientel required under these Terms must be sent to brief@ancientel.com with a copy to: Ancientel LLC, 212 N. 2nd St., Ste 100, Richmond, KY 40475.
25. Miscellaneous
- ▪ Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ancientel regarding the Platform and supersede all prior agreements.
- ▪ Severability: If any provision is found invalid or unenforceable, the remaining provisions continue in full force and effect.
- ▪ Waiver: Ancientel's failure to enforce any provision does not constitute a waiver of that provision or any other.
- ▪ Assignment: You may not assign your rights or obligations under these Terms without Ancientel's prior written consent. Ancientel may assign these Terms freely in connection with a merger, acquisition, or sale of assets.
- ▪ No Partnership or Agency: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Ancientel.
- ▪ Headings: Section headings are for convenience only and have no legal effect.
- ▪ Electronic Signatures: You agree that clicking 'I agree,' checking a checkbox, or creating an account constitutes your electronic signature and agreement to these Terms, which has the same legal effect as a handwritten signature.
